This Digital Product Licence (“Licence”) governs the use of digital products purchased from Unfold Creative Studio Ltd. (“Unfold Creative Studio,” “Unfold,” “we,” “us,” or “our”) through letitunfold.ca (the “Website”).
Unfold Creative Studio sells digital design resources, including AutoCAD dynamic blocks and related products offered under the uDesign product line. uDesign is a brand and product line of Unfold Creative Studio Ltd. By purchasing, downloading, accessing or using a digital product from Unfold Creative Studio, you agree to the terms of this Licence, together with our Terms of Use and any additional licence terms expressly identified for the particular product.
1. Digital Products Are Licensed, Not Sold
Purchasing a digital product does not transfer ownership of the product or its underlying intellectual property to you. Your purchase gives you a limited right to use the digital product in accordance with this Licence.
Unfold Creative Studio or its applicable licensors retain all right, title and interest in and to the digital product, including its underlying design, source files, components, structure, graphics, documentation and all associated copyrights and other intellectual-property rights.
All rights not expressly granted under this Licence are reserved.
2. Licence Grant
Subject to payment of the applicable purchase price and your continued compliance with this Licence, Unfold Creative Studio grants you a limited, non-exclusive, non-transferable and non-sublicensable licence to use the purchased digital product.
Unless a product page or separate written agreement expressly states otherwise, each purchased licence is granted to one individual user for use on one device.
The licence belongs to the individual purchaser or other individual expressly identified as the licensed user. Purchasing a product on behalf of a company, studio or other organization does not automatically create a multi-user or organization-wide licence.
If more than one person requires access to or use of the digital product, additional licences are required unless Unfold Creative Studio has expressly agreed otherwise in writing.
3. Permitted Professional and Personal Use
The licensed user may use the purchased digital product in their own personal or professional design work.
This includes incorporating an AutoCAD dynamic block or other digital product into drawings, plans, layouts, presentations and other project materials created by the licensed user.
The licensed user may use the product in multiple projects during the term of the Licence. The Licence is not limited to a single project unless expressly stated otherwise for a particular product.
The licensed user may also use the product in work prepared for clients, subject to the client-project restrictions contained in this Licence.
4. One User and One Device
A standard Licence permits installation and active use of the digital product by one licensed user on one device.
The digital product may not be installed or actively used by multiple individuals under a single Licence.
It may not be shared among employees, coworkers, contractors, consultants, members of a design studio or other persons merely because they work for the same business or on the same project.
The licensed user may maintain a reasonable backup copy solely for backup, archival or recovery purposes. A backup copy does not constitute an additional Licence and may not be used concurrently on another device.
If the licensed user replaces or permanently changes their primary device, the Licence may be transferred to the replacement device provided that the product is removed from the previous device and remains in use by only the same licensed user on one active device.
If multiple users or devices require access, additional licences must be purchased or separate licensing arrangements must be made with Unfold Creative Studio.
5. Use in Client Projects
The licensed user may incorporate a purchased digital product into professional work created for a client.
The client may receive the resulting drawings, plans, PDFs, images, presentations and other ordinary project deliverables.
The client’s receipt of those project deliverables does not transfer ownership of, or grant the client an independent licence to, the underlying uDesign digital product.
Where an editable project file provided to a client necessarily contains a licensed digital product, the digital product may remain within that file solely as part of the specific client project for which the file was prepared.
The client may use the project deliverable for its intended project purpose but may not extract the underlying digital product, add it to a reusable library, redistribute it, resell it, sublicense it or use it independently in other projects.
The licensed user remains responsible for taking reasonable measures to avoid intentional distribution of the underlying digital product outside the permitted client project.
6. Prohibited Sharing and Distribution
You may not sell, resell, redistribute, sublicense, share, lend, gift, publish, upload, transmit or otherwise make a purchased digital product or its source file available to another person or entity, whether for payment or free of charge.
You may not place a digital product in a shared office or company library, shared drive, cloud folder, collaborative asset library, website, marketplace, file-sharing service, repository, template collection or other location from which another person may access, copy, download or independently use it.
You may not share your account credentials or download access for the purpose of allowing another person to obtain or use a digital product.
You may not distribute the source product as a separate attachment to your own work or otherwise make the reusable source asset available to a client or third party except as expressly permitted for a specific client project under Section 5.
These restrictions apply regardless of whether the proposed distribution is commercial or non-commercial.
7. Modifications
You may make reasonable modifications to a digital product where necessary to incorporate it into your own permitted personal or professional project.
Modification does not transfer ownership of the original product or its underlying intellectual property to you.
Changing dimensions, layers, parameters, names, colours, properties, geometry, file format or other characteristics of a digital product does not create a new product that you may sell, distribute, sublicense, share or claim as your own.
A modified version remains subject to this Licence to the extent that it contains or is derived from the original digital product.
8. No Competing Digital Products or Libraries
You may not use a purchased digital product, whether in its original or modified form, as the basis for a downloadable product, template, CAD block, asset collection, resource library or substantially similar digital product that is sold, licensed, distributed or shared with others.
You may not compile purchased products into a collection, bundle, library or database for redistribution.
You may not use Unfold Creative Studio’s digital products primarily for the purpose of creating a competing library or catalogue of reusable digital design assets.
The fact that a product has been modified, converted or incorporated into another file does not remove these restrictions where the underlying digital asset remains substantially identifiable or reusable.
9. Intellectual Property and Proprietary Notices
Unfold Creative Studio Ltd. retains all intellectual-property rights in its digital products except for rights expressly granted under this Licence.
Nothing in your purchase transfers copyright, trademark rights or other proprietary rights to you.
You may not remove, conceal or alter copyright notices, trademarks, attribution, metadata, proprietary notices or other rights-management information included with a digital product where such information is present.
The names Unfold Creative Studio, uDesign, associated branding and product names remain the property of their respective rights holders and may not be used in a manner that falsely suggests sponsorship, affiliation or endorsement.
10. Software and Technical Requirements
You are responsible for ensuring that you have the appropriate software, hardware, software version and technical ability necessary to use a digital product before purchasing it.
Unless expressly stated otherwise on the applicable product page, purchasing a digital product does not include AutoCAD or any other third-party software required to open, edit or use the product.
Unfold Creative Studio does not control third-party software and cannot guarantee that a digital product will remain compatible with every current or future software version, operating system, configuration or third-party application.
11. Professional Responsibility
Digital products supplied by Unfold Creative Studio are design resources.
You remain responsible for reviewing and verifying the suitability, dimensions, configuration and use of a digital product within your particular project.
Unless expressly stated otherwise, digital products are not engineering certifications, architectural certifications, construction approvals or guarantees of compliance with building codes, regulations, standards, manufacturer specifications or particular site conditions.
Use of a digital product does not transfer responsibility for professional judgment, project-specific verification, coordination or any approvals required for your project to Unfold Creative Studio.
12. Licence Term and Termination
This Licence begins when you lawfully purchase or otherwise receive the applicable digital product and continues unless terminated in accordance with this Licence.
Your rights under the Licence may terminate if you materially breach its terms, including by unauthorized sharing, redistribution, resale, sublicensing or other infringement of Unfold Creative Studio’s intellectual-property rights.
Upon termination for breach, you must cease using the affected digital product and delete or destroy copies in your possession or control, except to the extent retention is required by law.
Termination does not affect Unfold Creative Studio’s right to pursue remedies arising from conduct that occurred before termination.
13. Unauthorized Use and Enforcement
Unauthorized reproduction, distribution, resale, sharing or commercial exploitation of a digital product may constitute copyright infringement in addition to a breach of this Licence.
Unfold Creative Studio reserves the right to take reasonable action to protect its intellectual-property and contractual rights.
Where permitted by law, this may include seeking injunctive relief, damages or other remedies available under applicable law.
14. No Transfer or Assignment
You may not transfer, assign, sell or otherwise dispose of your Licence to another person or entity without Unfold Creative Studio’s prior written consent.
A change in employment, business ownership, client relationship or project team does not automatically transfer the Licence to another person.
15. Additional or Custom Licence Terms
Certain digital products may be offered under additional, expanded, team, multi-device or custom licence terms.
Where additional licence terms are expressly provided with a particular product or agreed to in writing by Unfold Creative Studio, those specific terms will govern to the extent that they conflict with this standard Licence.
Otherwise, this Digital Product Licence applies.
16. Relationship to Other Terms
This Licence should be read together with Unfold Creative Studio’s Terms of Use, Refund & Digital Delivery Policy and Privacy Policy.
The Terms of Use govern your general use of the Website and your purchase transaction. This Licence governs the permitted use of digital products after purchase.
If a product is accompanied by specific written licence terms that expressly modify this Licence, those product-specific terms will govern the applicable product to the extent of the conflict.
17. Governing Law
This Licence is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles.
Subject to rights and jurisdictional protections that cannot lawfully be waived, disputes arising from this Licence will be subject to the jurisdiction of the courts located in Ontario, Canada.
Nothing in this Licence prevents Unfold Creative Studio from seeking appropriate relief in another jurisdiction where reasonably necessary to protect or enforce its intellectual-property rights.
